General conditions
1. Preamble
These General Terms and Conditions of Sale (GTC) govern the contractual relations between DB Assist', represented by Mrs Delphine BAUM, Sole proprietorship registered in the French Commercial Register in Nancy under number 95376357000017, and its clients (hereinafter referred to as “the Client”). By accepting a quote or signing a contract with DB Assist', the Customer accepts without reservation these GTC.

2. Subject
These GTC are intended to define the terms and conditions applicable to the provision of translation services for notices and documents from English into French, or any other mission defined by contract between DB Assist’ and the Customer.
3. Order and Conclusion of the Contract
The order is considered final from the moment DB Assist receives the quotation signed by the Customer with the mention “Good for agreement”. The order can also be validated by signing a specific contract specifying the details of the mission.

4. Rates and Payment Terms
The prices of services are indicated in euros excluding taxes (HT). Payment is made according to the following terms:
- 30% of the total amount at the signature of the quotation or contract
- 70% remaining upon receipt and acceptance of the final work by the Client
The additional costs incurred by DB Assist’ for the execution of the mission (travel, specific expenses, etc.) will be invoiced in addition and must be reimbursed by the Customer upon presentation of the supporting documents.
5. Delivery Times
The delivery times for services are agreed between the parties and indicated in the quotation or contract. DB Assist’ undertakes to comply with the agreed deadlines, except in cases of force majeure or delay attributable to the Customer.
6. Obligations of the Client

The Client undertakes to provide all information and documents necessary for the execution of the mission in a timely manner. The Client also undertakes to actively cooperate with DB Assist’ and to inform them of any decision that may affect the mission.

7. Obligations of the Service Provider
​
DB Assist’ is committed to providing services with diligence and professionalism, in compliance with applicable laws and standards. DB Assist’ is bound to an obligation of means and not of result.

8. Confidentiality
DB Assist’ is committed to ensuring the confidentiality of information and documents entrusted by the Customer. No information will be disclosed to third parties without the prior consent of the Client. Documents will be destroyed at the end of the mission unless otherwise agreed.

9. Intellectual property
​
The work carried out remains the property of DB Assist’ until payment has been made in full. After full payment, the Customer acquires full ownership.

10. Termination
Each party may terminate the contract in the event of a serious breach by the other party of its obligations, after a formal notice which remains without effect for fifteen days. The termination shall take effect 15 days after receipt of the notice.

11. Late Penalties
In case of late payment, the Client will be liable for a late penalty calculated on the basis of three times the legal interest rate in force, as well as a lump sum compensation for recovery costs of 40 euros.
12. Force Majeure
DB Assist’ cannot be held liable in the event of force majeure (fire, floods, strikes, etc.) preventing the performance of its contractual obligations. In the event of force majeure, the obligations of the contract are suspended for the duration of the event.

13. Disputes and applicable law
These GTC are subject to French law. In the event of a dispute, the parties undertake to seek an amicable solution before bringing the matter before the competent courts. The competent court for disputes is Nancy.

14. Final Provisions
These GTC are drawn up in duplicate, one for each party, and are attached to the signed quotation.
